Cayman Island에 소재하는 법인인 블록원(block.one)이 진행했던 EOS ICO는 2016년 6월 26일부터 2017년 6월 1일까지 무려 1년 가까이 ICO를 진행했는데, 그 동안 투자자들로부터 7,205,102.93 ETH를 모아서 약 42억 달러에 달하는 자금을 모집하였습니다.
그런데, 다른 팀들의 ICO와 다르게 블록원의 ICO에는 특이한 점이 있었는데, 바로 토큰판매계약(Token Purchase Agreement)에서 아무것도 보증하지 않았다는 것입니다. ICO를 할 경우, ICO가 완료되면 그에 상응하는 만큼의 토큰을 비율대로 발행하여 주거나 최소한 미래에 그와 같이 발행할 것을 계약으로 보증하는 것이 대부분인데, 블록원의 경우에는 아무런 보증을 하지 않았습니다.
EOS 토큰이 ERC-20이던 ICO 당시 eos.io에 있던 계약서를 보면 이렇게 되어 있습니다. (저도 eos.io 사이트에서 소량 EOS 토큰을 구입하였기 때문에 자세히 살펴 보았습니다)
제가 가지고 있는 계약서는 2017년 9월 4일에 마지막으로 업데이트 된 계약서인데, 중요사항만 보면 아래와 같습니다.
1. block.one is developing the EOS.IO software (the “EOS.IO Software”) as further described in the EOS.IO Technical White Paper (as it may be amended from time to time) (the “White Paper”); (블록원이 소프트웨어 개발을 담당한다는 내용입니다.)
2. at the end of its development stage, block.one will be releasing the EOS.IO Software it has developed under an open source software license; (개발이 끝나면 EOS.IO 소프트웨어를 오픈소스로 공개하겠다는 내용입니다)
3. Company will not configure and/or launch any public blockchain platform adopting the open source EOS.IO Software (the “EOS Platform”) for any purpose; (여기서, 블록원은 자신들이 블록체인을 런칭하지 않겠다(!)고 선언합니다. 다른 팀이었다면 상상도 하기 어려운 내용입니다.)
4. any launch and implementation of the EOS Platform may occur by third parties unrelated to Company; (블록체인의 런칭이 있다면 그건 블록원과 관계 없는 다른 제3자가 할 수는 있다는 내용입니다.)
5. third parties launching the EOS Platform may delete, modify or supplement the EOS.IO Software prior to, during or after launching the EOS Platform; and (그리고 그 회사와 관련 없는 제3자가 EOS.IO 소프트웨어를 수정할 수 있다는 내용도 담겨 있습니다.)
6. Company will have no control over when, how or whether the EOS.IO Software is adopted or implemented, or how, when or whether the EOS Platform is launched. (블록원은 EOS.IO 소프트웨어에 아무런 통제력을 행사할 수 없다고 하고 있습니다.)
· EOS TOKENS HAVE NO RIGHTS, USES OR ATTRIBUTES. The EOS Tokens do not have any rights, uses, purpose, attributes, functionalities or features, express or implied, including, without limitation, any uses, purpose, attributes, functionalities or features on the EOS Platform. Company does not guarantee and is not representing in any way to Buyer that the EOS Tokens have any rights, uses, purpose, attributes, functionalities or features. (EOS 토큰에는 아무런 권리나 사용성 등이 없고 블록원은 아무것도 보증(guarantee)하지 않는다고 하고 있습니다.)
· NOT A PURCHASE OF EOS PLATFORM TOKENS. EOS Tokens purchased under this Agreement are not tokens on the EOS Platform. Buyer acknowledges, understands and agrees that Buyer should not expect and there is no guarantee or representation made by Company that Buyer will receive any other product, service, rights, attributes, functionalities, features or assets of any kind whatsoever, including, without limitation, any cryptographic tokens or digital assets now or in the future whether through receipt, exchange, conversion, redemption or otherwise. (EOS 토큰은 EOS 플랫폼의 토큰이 아니라고 경고합니다 - 주: EOS 블록체인의 네이티브 토큰이 아니고 ERC-20 기반의 토큰임을 알리는 것이고, 블록체인 런칭을 보증하지 않는다고 한 것과 궤를 같이 합니다.)
· EOS TOKENS MAY HAVE NO VALUE. (EOS 토큰은 아무런 가치가 없을 수 있다고도 경고합니다.)
위 내용들은 아마 EOS 토큰을 구입하셨던 많은 분들이 잘 모르셨던 내용이었다고 생각합니다. 토큰을 구입하면 그 대가로 무언가(주로 자신이 발행하는 또는 발행할 토큰으로서 앞으로 가치가 높아질)를 주겠다고 하는 다른 대부분의 팀들과는 달리, 블록원은 반대로 ‘아무것도 하지 않겠다’고 선언함으로서 모든 법적 책임에서 벗어나 있습니다. 실제로도 (겉으로는) 2018년 6월에 EOS 블록체인이 런칭될 때, 커뮤니티의 자발적인 노력에 의해서 블록 프로듀서가 선출되고, 블록원은 (겉으로는) 여기에 관여하지 않았습니다.
이와 같은 계약의 구조는, EOS 토큰(또는 현재의 EOS native coin)이 스테이킹, 이자배분 등 증권의 성격을 많이 가지고 있기 때문에 블록원에서 법적인 규제를 피하기 위하여 채택했다고 생각이 되지만, 투자자의 입장에서는 다른 토큰에 비하여(계약서를 보지 않아 인지하지는 못하였을지 몰라도) 런칭이 보증되어 있지 않았기 때문에 가치가 0이 될 가능성이 꽤 있었던, 매우 위험성이 높은 토큰이었습니다.
블록원이 택한 이와 같은 ICO의 Token Purchase Agreement는 강한 증권성을 띠는 토큰을 발행하려는 팀에서 한 번쯤은 고려해 볼 수 있는 구조이지만, Dan Larimer와 같이 유명한 인물이 포함된 팀이 진행하는 프로젝트가 아닌 이상 커뮤니티 형성이 어렵기 때문에 이와 같은 계약 구조를 택하는 것은 현실적으로 어렵다고는 생각이 됩니다.
